01. Services Provided
• Web Design & Rebuilding
Portfolios, e-commerce websites, and complete
website refreshes designed to elevate
your digital presence.
• Branding - Professional logo design, flyers, creative
assets, and rebranding services tailored to strengthen
your identity.
• Social Media Marketing - Profile setup, audits,
content planning, regular posting, community
engagement, and paid promotional campaigns.
02. Intellectual Property Rights
• Client Ownership Upon full payment, ownership of the final approved website designs, logos, and marketing creatives developed specifically for the client will be transferred to the client.
• Portfolio Usage Ulchemist reserves the right to showcase completed projects within its portfolio unless a separate Non-Disclosure Agreement (NDA) has been executed.
03. Client Responsibilities
• Provide all necessary business information, content, images, and brand assets promptly.
• Review and provide feedback on drafts within the agreed timelines.
• Ensure that all materials supplied to Ulchemist do not infringe upon any third-party copyrights, trademarks, or intellectual property rights.
05. Paid Advertising & Performance
​• Advertising budgets are typically paid directly by the client to the respective advertising platforms, unless otherwise agreed in writing.
• While Ulchemist applies strategic expertise and best practices to optimize campaign performance, specific business outcomes, sales figures, or return on investment cannot be guaranteed, as external factors remain beyond our control.
04. Payments & Refunds
• Payments - A deposit or full payment, depending on the scope of the project, may be required before work commences.
• Late Payments - Ulchemist reserves the right to pause services if payments are not made according to the agreed schedule.
• Refund Policy - Due to the nature of digital creative services, refunds are generally not available once the design, development, or marketing phase has commenced. Any project-specific refund arrangements will be outlined within the service agreement.
06. Limitation of Liability
Ulchemist shall not be held liable for any indirect, incidental, consequential, or special damages arising from the use of, or inability to use, our services. This includes, but is not limited to:
• Website downtime or hosting-related disruptions. Changes in third-party platform policies.
• Delays caused by factors outside Ulchemist's reasonable control.
07. Termination of Service
Ulchemist reserves the right to suspend or terminate services under the following circumstances:
• Violation of these Terms and Conditions.
• Engagement in unlawful, fraudulent, or unethical activities.
• Failure to communicate or provide required project inputs for an extended period, typically exceeding 30 days.
In such cases, completed work up to the date of termination may be invoiced accordingly.
